1 Acceptance of Terms

By accessing, registering for, or using RestoBar OS provided by Elite SamTech Solutions / SamTech Elite Solutions (https://elitesamttech.co.ke and https://elitesamtech.co.ke), you accept and agree to be bound by the terms and provisions of this agreement. If you are entering into these Terms on behalf of a restaurant, bar, lounge, hotel, or corporate entity, you represent that you have the legal authority to bind that business entity.

2 Use of Service & Acceptable Hospitality Operations

You agree to use our platform strictly for your business's legal operational needs, such as managing inventory, processing point-of-sale transactions, routing kitchen and bar preparation tickets, managing table reservations, and analyzing business data. You must not misuse the system, attempt unauthorized access to other tenant accounts, reverse-engineer platform source code, or use transactional SMS/WhatsApp channels to send unsolicited spam.

3 14-Day Free Trial, Account Provisioning & Onboarding

New hospitality venues may register for a 14-day self-service free trial on eligible subscription tiers. Upon registration, RestoBar OS automatically provisions your dedicated tenant workspace, owner administrator credentials, sample menu categories, floor tables, and public digital storefront (/r/<your-venue-slug>/). At the conclusion of the trial period, continued access to POS checkout and back-office modules requires activation of a paid monthly or annual subscription plan.

4 Subscription Plans, Billing Cycles & Payment Terms

• Subscription Tiers & Limits: Feature availability (such as KDS, BOT, Recipe Inventory, Multi-Register tills, and eTIMS signatures) and capacity limits (maximum staff accounts and floor tables) are governed by your active subscription plan.
• Billing Cycles & Settlement: Subscriptions are billed in advance on a monthly or annual basis in Kenyan Shillings (KES) via M-Pesa Express (STK Push), debit/credit card, or corporate bank transfer (EFT/RTGS). Tax invoices are generated automatically upon payment verification.
• Upgrades & Suspension: You may upgrade your plan at any time. Accounts with overdue subscription renewals beyond the grace period may be temporarily gated until the outstanding invoice is settled, while preserving all historical venue data intact.

5 Staff Accounts, Role-Based Access Control (RBAC) & Security

Venue Owners and Managers are responsible for assigning appropriate roles (Manager, Cashier, Waiter, Chef, Bartender, Storekeeper, Accountant) and Permission Groups to their staff members, and for maintaining the confidentiality of Manager Authorization PINs used to approve item voids, discounts, and stock count reconciliations. Any operational action authenticated with a valid staff login or manager PIN is deemed authorized by the venue.

6 POS Checkout, M-Pesa STK Integration & Fiscal Compliance

RestoBar OS facilitates automated M-Pesa Express (STK Push) prompts, multi-tender split payments, corporate house tabs, and customizable thermal bills. While RestoBar OS provides automated tax breakdowns (16% VAT, service charge, and catering levy) and eTIMS-ready sequential invoice formatting, each subscribing venue remains solely responsible for configuring its accurate KRA PIN, tax rates, and fulfilling its statutory tax filing obligations with the Kenya Revenue Authority (KRA).

7 Immutable Inventory Ledger & Blind Cashier Shift Audits

To protect hospitality owners from stock shrinkage and cash drawer manipulation, RestoBar OS enforces an append-only InventoryTransaction ledger and blind cashier shift handovers. Historical stock movements and completed shift variance declarations cannot be retroactively overwritten; adjustments must be recorded via authorized stock counts, wastage logs, or supervisor-approved void workflows.

8 Modifications to Service & Continuous Improvements

Elite SamTech Solutions reserves the right to modify, enhance, or discontinue, temporarily or permanently, specific platform features with or without notice. Our move to Version 1.0 demonstrates our commitment to constantly evolving the platform with crucial security, performance, and functional updates.

9 Intellectual Property & Venue Data Ownership

All software architecture, source code, UI/UX designs, documentation, and trademarks of RestoBar OS are the exclusive intellectual property of SamTech Elite Solutions (https://elitesamttech.co.ke). Subscribing venues retain 100% ownership of their proprietary business data, recipes, financial statements, and customer records, and may export their reports (CSV/PDF) at any time.

10 Limitation of Liability

In no event shall Elite SamTech Solutions (SamTech Elite Solutions) be liable for any indirect, incidental, special, consequential, or punitive damages—including loss of profits, third-party mobile network or power outages, or hardware peripheral failures—resulting from the use or the inability to use the service. Our total cumulative liability under these Terms shall not exceed the total subscription fees paid by the venue in the twelve (12) months preceding the claim.

11 Governing Law & Contact Information

These Terms of Service are governed by and construed in accordance with the laws of the Republic of Kenya. Any disputes arising in connection with these Terms shall be resolved amicably or submitted to the competent courts and arbitration tribunals in Nairobi, Kenya.
